Notebase Terms of Service

Thank you for using Notebase!

These terms are an agreement between you (a natural or legal person) and Tree Diagram LLC (a limited liability company based in Arizona, USA).

1. Definitions

"Terms" means these terms of service.

"Service" means the Notebase services, including those offered at notebase.sh and notebase.dev.

"Tree Diagram" means Tree Diagram LLC.

"We" and "us" (regardless of capitalization) mean the same as Tree Diagram.

2. Acceptance

(a) By using this Service, with or without an account, you accept these Terms.

(b) You must be 18 years of age or older to use this Service, and if you are signing up on behalf of an organization, you warrant that you have the authority to accept these Terms on behalf of the organization.

3. Conditions

(a) You must not be an entity subject to sanctions by the United States of America.

(b) You must not use this Service in any way which is listed as prohibited in these Terms.

(c) You are solely responsible for your content you upload to and share through this Service; however, you grant us a non-exclusive license to copy, modify, distribute, and sublicense your content in order to provide this Service and fulfill our obligations under these Terms.

(d) You must provide accurate information when you sign up and ensure this information remains accurate.

(e) You must ensure that your account remains secure and notify us of any unauthorized activity.

(f) You are solely responsible for ensuring that your use of this Service complies with applicable laws; we will not be liable if this Service cannot legally be provided in your jurisdiction.

4. Acceptable Use

The following are prohibited uses of this Service:

(a) Distributing malicious code, phishing pages, or spam, except for legitimate research purposes;

(b) Vulnerability scanning, penetration testing, or port scanning without permission;

(c) Attempting to disrupt this Service or third-party services;

(d) Cryptocurrency mining;

(e) Copyright infringement;

(f) Any use we decide is excessive or is harmful to this Service or our reputation; and

(g) Any use prohibited by the laws of the United States of America.

5. Payments

(a) Payment may be required to access certain plans or features of this Service.

(b) Excluding trial offers, payment is due before the plan or feature is provided.

(c) Subscriptions may be cancelled at any time.

(d) You are responsible for any taxes or additional fees, and such taxes or fees may be added to total amount due.

(e) Refunds are provided in accordance with the refund policy listed in these Terms.

6. Refund Policy

Refunds are provided in the following cases:

(a) The purchase was accidental, and the purchased product or service was not used;

(b) The purchase was due to account compromise or other fraudulent activity;

(c) The purchased product or service was not used, including situations where the purchased product or service was unusable;

(d) The purchased product or service was used only during the trial period;

(e) We are unable to continue providing the purchased product or service; and

(f) Any other cases as required by applicable law.

Except for cases (b) or (f), all refund requests must be made within 30 calendar days of the purchase or, if applicable, the end of the next billing period, whichever is longer. Except for case (b) and unless prohibited by applicable law, refunds may be prorated.

7. Disclaimer

This Service is provided "AS IS" without any warranty, express or implied. There is no guarantee of availability or proper functionality. To the extent permitted by law, we will not be liable for any damages related to this Service under any kind of claim. In no event will our total liability exceed the price you paid for this Service over the past 12 months, regardless of the cause of action.

8. Indemnification

(a) You must indemnify, defend, and hold harmless Tree Diagram from any claims arising out of your content, your failure to comply with applicable law, your failure to comply with these Terms, and your use of this Service in general.

(b) We will give you prompt written notice of any third-party claim for which we seek indemnification, but our failure to give notice does not relieve you of your indemnification obligations.

9. Governing Law and Jurisdiction

(a) These Terms are governed by the laws of the State of Arizona without regard to conflict of laws principles or the United Nations Convention on Contracts for the International Sale of Goods.

(b) If you are not an individual or are not a resident of the UK or the EU, the courts of Arizona have exclusive jurisdiction over any dispute related to these Terms or the Service.

(c) If you are an individual and a resident of the UK or the EU, your local courts have concurrent jurisdiction with the courts of Arizona over any dispute related to these Terms or the Service.

(d) This section should not be interpreted to exclude any mandatory consumer protection laws, where such laws are applicable.

10. Privacy

(a) We collect account details, payment information through third-party gateways, and other information you voluntarily supply to us.

(b) We collect usage data, including error and performance logs, timestamps, session logs, and IP addresses, for debugging and analytics.

(c) We do not use third-party services to collect data, except payment information is processed exclusively through third-party payment processors for security reasons.

(d) Your data is used solely to provide and secure this Service and not for advertising or cross-site tracking purposes.

(e) We use cookies and other locally saved data to enable the functionality of this Service, maintain login sessions, and analyze usage patterns.

(f) Requests to access, delete, or modify your data may be submitted to us by email at privacy@notebase.sh.

11. Region-Specific Provisions

(a) If you are a resident of the UK or the EU, then the GDPR applies to you. Please note that your personal data will be transferred to servers located in the US in order to provide this Service.

(b) If you are a resident of the People's Republic of China ("PRC"), you may not use this Service to provide any service or application within the PRC without appropriate licensing.

12. Other Provisions

(a) These Terms are the entire agreement and replace all prior agreements.

(b) We may update these Terms from time to time, and any updated version of these Terms becomes effective on the date of being posted on the website.

(c) Sections 1, 6, 7, 8, 9, 10, and 11 survive the end of these Terms.

(d) If any part of these Terms is unenforceable, then the rest remains in effect.

(e) No failure to enforce a right is a waiver of that right.

(f) The English version of these Terms controls over any translations.
